These terms apply to the Persona candidate portal at apply.personatalent.com and related Persona recruiting workflows.
"Persona," "we," "us," and "our" means Psychometric, Inc. d/b/a Persona, a Delaware corporation, with its principal place of business in Nashville, Tennessee, USA, and mailing address at:
Persona is a recruiting and staffing company. Depending on the role, you may be considered for opportunities with Persona, with one or more of Persona's client companies, or with both.
If you are later hired, engaged, placed, or onboarded by Persona or by a Persona client company, separate employment, contractor, staffing, onboarding, or client-specific terms and privacy notices may also apply.
The Persona Candidate Privacy Notice is published separately at /privacy. If there is a conflict between these Candidate Terms of Use and the Candidate Privacy Notice regarding the handling of personal data, the Candidate Privacy Notice controls.
1. Acceptance and electronic agreement
By creating a candidate account, submitting an application, opting in to be considered for future opportunities, or otherwise accessing or using the candidate portal or related recruiting workflows, you agree to these Candidate Terms of Use and acknowledge the Persona Candidate Privacy Notice.
You agree that electronic records, click-through acceptances, electronic signatures, and communications delivered electronically satisfy any legal requirement that such records, notices, or agreements be in writing, to the fullest extent permitted by law.
2. What the services are
The Persona candidate portal allows individuals to:
- create and maintain candidate accounts and profiles;
- apply for current opportunities with Persona, Persona's client companies, or both;
- communicate with Persona about recruiting processes;
- provide or authorize reference contacts and other information relevant to recruiting processes; and
- if they choose, opt in so Persona may contact them about current and future opportunities with Persona and Persona's client companies.
Persona is a recruiting and staffing company. Depending on the role, Persona may recruit for itself, for one or more client companies, or for both.
Persona may modify, suspend, or discontinue any part of the candidate portal or related workflows at any time, with or without notice, to the extent permitted by law.
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, and legally capable of entering into these Terms.
4. Account registration and security
You agree to provide accurate, current, and complete information and to keep it reasonably up to date.
You are responsible for maintaining the confidentiality of your login credentials and for activities occurring under your account to the extent caused by your failure to safeguard those credentials. You must notify Persona promptly if you believe your account has been compromised or used without authorization.
Persona may refuse registration, require credential resets, or limit account access for security, fraud-prevention, compliance, or operational reasons.
5. Candidate content; representations; verification
"Candidate Content" means the information, documents, files, messages, media, work samples, portfolio links, reference information, and other content you submit or make available through the Services.
You represent and warrant that:
- your Candidate Content is accurate, current, complete, and not misleading;
- you have the right to submit Candidate Content and grant the rights described in these Terms;
- your Candidate Content does not infringe any third-party rights or violate any law; and
- if you provide personal data about another person, such as a referee or reference contact, you have the right to provide that information and have given any notice required by law.
You are responsible for informing any referee, reference contact, or other third party whose personal data you provide that Persona may contact them and may process their personal data as described in the Persona Candidate Privacy Notice.
To the fullest extent permitted by law, you authorize Persona to verify information you provide, including by reviewing public professional sources and contacting references or referral sources, where relevant to an opportunity and legally permitted.
Persona may reject, remove, redact, or decline to process Candidate Content that violates these Terms, is unnecessary for recruiting purposes, or creates legal, security, or compliance risk.
6. License to candidate content
You grant Persona and its service providers a worldwide, non-exclusive, royalty-free license to host, store, copy, reproduce, transmit, display internally, parse, format, adapt, translate, summarize, normalize, create internal notes and internal candidate profiles from, and otherwise process Candidate Content as reasonably necessary to:
- operate and improve the Services;
- create and maintain your candidate account and profile;
- evaluate your candidacy and match you with opportunities;
- communicate with you about current and future opportunities;
- share relevant information with specific client companies in connection with specific current or prospective opportunities;
- prevent fraud, abuse, duplication, and security incidents;
- comply with legal obligations; and
- establish, exercise, or defend legal claims.
This license continues until Persona deletes or irreversibly anonymizes the relevant Candidate Content, except for residual backup copies, restricted archive copies, suppression records, and copies retained as required for legal, security, audit, or compliance purposes.
7. Persona intellectual property
The Services, and all software, designs, text, graphics, logos, databases, workflows, compilations, and content made available by Persona other than your Candidate Content, are owned by Persona or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, Persona grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your own non-commercial candidate and recruiting-related purposes.
You must not, and must not permit others to:
- copy, reproduce, modify, distribute, or create derivative works from the Services except as expressly allowed;
- scrape, crawl, harvest, mine, extract, or collect data from the Services using bots, spiders, scripts, or similar methods;
- reverse engineer, decompile, or attempt to discover source code except where law forbids that restriction;
- interfere with the operation, integrity, or security of the Services; or
- use the Services to build or improve a competing recruiting, staffing, talent, or data product.
8. Optional consideration for future opportunities and communications
Optional consideration for future opportunities
Opting in to be considered for future opportunities is optional and is not required to apply for a specific role.
If you opt in, Persona may keep your profile active in searchable recruiting systems and may contact you about current and future opportunities with Persona and Persona's client companies, in accordance with the Candidate Privacy Notice.
As described in the Candidate Privacy Notice, Persona may retain, archive, delete, or irreversibly anonymize application-only records and future-opportunity profiles based on candidate activity, legal obligations, security and fraud-prevention needs, claims preservation, ordinary backup practices, and suppression records needed to honor privacy choices.

You may withdraw your opt-in for future opportunities, close your account, or request deletion at any time, subject to limited retention described in the Candidate Privacy Notice.
Communications
Persona may send service-related or relationship communications about your account, applications, interviews, assessments, reference checks, verifications, profile status, security matters, fraud-prevention matters, legal/compliance matters, and other operational issues reasonably necessary to provide or protect the Services.
If you have an active application, assessment, interview, reference-check, verification, or similar in-progress workflow, certain service-related communications may continue even if you opt out of optional communications.
If you opt in to be considered for future opportunities, Persona may also contact you about current and future opportunities with Persona and Persona's client companies, subject to applicable law and the Candidate Privacy Notice.
Optional newsletters or promotional communications, optional future-opportunity re-engagement campaigns where consent or opt-out rights apply, and optional AI Task Services invitations not tied to an active application will be sent only as permitted by applicable law, and you may opt out of those at any time.
If Persona offers an email-preferences or communications-preferences tool, that tool may not apply to service-related or relationship communications that are reasonably necessary to administer an active account, application, interview, assessment, reference, verification, security matter, fraud-prevention inquiry, payment issue, or legal/compliance notice.
9. Automated tools
Persona may use automated tools and AI-assisted systems to assist with resume parsing, duplicate detection, fraud and integrity checks, application routing, profile matching, assessment scoring support, prioritization, scheduling, and preliminary screening support.
Persona does not make final decisions that produce legal or similarly significant effects solely by automated means where prohibited by applicable law.
Where applicable, you may request human review or additional information about an AI-assisted decision by contacting privacy@personatalent.com or using any in-product method Persona makes available. Additional category-level information about Persona's AI-assisted systems may be made available in Persona's AI Transparency and Human Review Notice.
10. Third-party services
The Services may contain links to, integrate with, or rely on third-party services, platforms, scheduling tools, assessment providers, communications tools, storage providers, or client systems. Persona is not responsible for third-party services except as required by law. Your use of third-party services may be subject to those third parties' own terms and privacy practices.
11. Prohibited conduct
You agree not to:
- submit false, fraudulent, or misleading information;
- impersonate another person or create duplicate or deceptive profiles;
- upload malicious code, harmful files, or unlawful content;
- violate another person's privacy, publicity, or intellectual property rights;
- use the Services to harass, discriminate against, threaten, or defraud another person;
- access or attempt to access areas of the Services you are not authorized to use;
- interfere with or disrupt the Services, their infrastructure, or related security controls; or
- use the Services in violation of applicable law.
12. Suspension, deactivation, and account closure
You may close your account or request deletion of your profile at any time, subject to the retention rules described in the Persona Candidate Privacy Notice.
Persona may suspend, restrict, deactivate, or terminate access to the Services, remove Candidate Content, or close accounts at any time for security, fraud-prevention, misuse, inactivity, legal compliance, client-request handling, or policy reasons, to the extent permitted by law.
13. No guarantee of placement; no employment relationship
Creating an account, submitting an application, opting in to be considered for future opportunities, or communicating with Persona does not guarantee an interview, offer, placement, engagement, or employment with Persona or any client company.
Nothing in these Terms or in the Services creates an employment, contractor, staffing, agency, joint venture, fiduciary, or partnership relationship between you and Persona or between you and any client company.
14. DISCLAIMERS
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. Persona disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or uninterrupted access.
Persona does not warrant that:
- any role will remain available or be filled;
- any opportunity is suitable for you;
- any client company will interview, engage, or employ you;
- the Services will be uninterrupted, error-free, secure, or available at all times; or
- submitted information will never be lost, delayed, filtered, or corrupted.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Persona and its affiliates, directors, officers, employees, contractors, agents, licensors, service providers, and client companies will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business opportunity, goodwill, reputation, or data, arising out of or relating to the Services, these Terms, the Persona Candidate Privacy Notice, or your use of or inability to use the Services.
To the fullest extent permitted by law, Persona's total aggregate liability arising out of or relating to the Services, these Terms, the Persona Candidate Privacy Notice, or your use of the Services will not exceed the greater of:
- US$100, or
- the amount you paid, if any, to Persona for the Services in the 12 months preceding the event giving rise to the claim.
The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose, but they do not apply to liability that cannot lawfully be excluded or limited.
16. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Persona and its affiliates, directors, officers, employees, contractors, agents, and service providers from and against third-party claims, damages, judgments, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your fraud, intentional misconduct, or unlawful use of the Services;
- your violation of these Terms;
- your Candidate Content;
- your infringement or misappropriation of any third-party right; or
- your violation of applicable law.
Persona may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate reasonably with Persona in that defense.
17. Informal resolution; governing law; venue; individual actions; jury trial waiver; time limit
Before filing a lawsuit, the complaining party must send written notice describing the dispute and requested relief to privacy@personatalent.com. The parties will attempt in good faith to resolve the dispute informally for 30 days after that notice is received.
These Terms, the Persona Candidate Privacy Notice, and any dispute, claim, or controversy arising out of or relating to the Services, your account, your profile, your application, consideration for future opportunities, the Persona Candidate Privacy Notice, or these Terms, whether in contract, tort, statute, or otherwise, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Except where applicable law gives you a non-waivable right to bring a claim elsewhere, any lawsuit must be brought exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware, and each party irrevocably consents to personal jurisdiction and venue in those courts. If no such Delaware court has subject matter jurisdiction over a claim that is not required by law to be brought elsewhere, then the parties agree that such claim may be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
Nothing in this section:
- limits your right to file a complaint, charge, or report with a government authority, regulator, supervisory authority, labor agency, or data protection authority;
- limits either party's right to seek temporary, preliminary, or injunctive relief to protect security, confidential information, intellectual property, or similar interests; or
- deprives either party of any non-waivable rights or remedies under applicable law.
Individual actions only. To the fullest extent permitted by law, you and Persona agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, coordinated, consolidated, mass, representative, or private-attorney-general action, except where applicable law prohibits such a waiver.
Jury trial waiver. To the fullest extent permitted by law, you and Persona knowingly and voluntarily waive any right to a trial by jury in any action arising out of or relating to the Services, these Terms, or the Persona Candidate Privacy Notice.
Time limit to bring claims. To the fullest extent permitted by law, any claim arising out of or relating to the Services, these Terms, or the Persona Candidate Privacy Notice must be filed within one year after the claim accrued, or it is permanently barred, except where applicable law prohibits shortening the time to sue.
If any part of this section is found unenforceable as to a particular claim or remedy, that part will be enforced to the maximum extent permitted, and the remainder of this section will remain in effect.
18. Changes to the services and to these terms
Persona may update the Services, these Terms, and the Persona Candidate Privacy Notice from time to time. If changes are material, Persona will provide notice as required by applicable law. Your continued use of the Services after the effective date of an updated version means you accept the updated Terms, except to the extent applicable law requires additional consent.
19. Miscellaneous
These Terms and the Persona Candidate Privacy Notice constitute the entire agreement between you and Persona regarding the Services and supersede prior or contemporaneous understandings on that subject.
You may not assign or transfer your rights or obligations under these Terms without Persona's prior written consent. Persona may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, sale of assets, or other corporate transaction.
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
Persona's failure to enforce any provision is not a waiver of that provision or of the right to enforce it later.
Persona will not be liable for delay or failure to perform caused by events beyond its reasonable control.
These Terms are for the benefit of you and Persona only and do not create third-party beneficiary rights except as expressly stated.
The English-language version of these Terms controls to the extent permitted by law.
The sections that by their nature should survive termination or expiration will survive, including sections concerning licenses, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and retention-related rights and obligations.
