Role Summary

We are hiring an Equity Modeling & Capitalization Analyst to own the cap table and equity structure work for an early-stage U.S. startup preparing for Seed-stage financing. This is a specialized, high-trust role reporting directly to the founders (in coordination with outside legal counsel). Phase I focuses on reconstructing the current capitalization as-is, standing up a proper cap table system in Carta, and designing the share-class and incentive-plan structure the company will operate under through Seed and beyond.

This position is purpose-built for a candidate who can model SAFE conversions, dual-class share structures, and multi-phase equity plans, prepare board- and stockholder-ready materials alongside legal counsel, and operate independently with sensitive founder- and investor-specific data. Ideal candidates come from startup finance, equity administration, corporate legal support, or stock plan services and are comfortable being the person the founders trust to get this right.

Key Responsibilities

Cap Table Reconstruction & Systems

  • Rebuild the current capitalization table as-is inside Carta (or equivalent platform), with SAFE conversion logic accurately modeled
  • Implement and maintain the cap table ledger going forward, including all issuances, transfers, and adjustments
  • Own cap table recordkeeping, audit trail, and version control

Ultimate Beneficial Owner (UBO) & Data Collection

  • Gather UBO information and disclosures required to complete the cap table, including direct outreach to stakeholders
  • Follow up independently on missing or incomplete data without waiting for a clean handoff
  • Manage sensitive stakeholder documentation with strict confidentiality

Equity Structure Design

  • Sketch the target share structure phase-by-phase, including share classes and option/RSU pool sizing
  • Design a dual-class share structure ready for board and stockholder adoption
  • Develop a 3-phase equity plan spanning SAFE closing through Seed targets, plus a Phase IV forward sketch
  • Model dilution scenarios across phases and financing outcomes

Board & Stockholder Materials

  • Prepare board- and stockholder-ready package for adoption of the equity incentive plan and charter amendment
  • Coordinate directly with legal counsel on documentation, filings, and approval processes
  • Track and record all board and stockholder approvals in the cap table system

Required Qualifications

  • Direct experience with cap table management platforms (Carta strongly preferred; Pulley, Shareworks, LTSE Equity, or comparable acceptable)
  • Hands-on experience modeling SAFE conversion mechanics, including post-money SAFEs, valuation caps, discount rates, and MFN provisions
  • Working knowledge of dual-class share structures, equity incentive plans (ISOs, NSOs, RSUs), and charter amendment processes
  • Comfort preparing materials for board and stockholder approval processes, ideally alongside external legal counsel
  • Ability to work autonomously with sensitive, stakeholder-specific equity data
  • Strong Excel or Google Sheets modeling skills, including dilution and waterfall analyses
  • Exceptional attention to detail and data accuracy
  • Strong written and verbal communication for founder- and counsel-facing work
  • Fully fluent in English
  • Ability to commit long-term and full-time

Preferred Qualifications

  • 3-7+ years in startup finance, equity administration, stock plan services, or corporate legal support
  • Prior experience supporting startups through Seed-stage (or later) financing rounds and cap table restructurings
  • Experience at a Big 4 or accounting firm's stock plan or equity practice
  • Familiarity with 409A valuations and their interaction with option grants
  • Exposure to Rule 701 compliance, Section 83(b) elections, and other early-stage equity compliance requirements
  • Prior experience at Carta, Pulley, Shareworks, or a similar equity-management platform
  • Familiarity with US startup formation documents (Delaware certificates, bylaws, stockholder agreements, IRAs)
  • Comfort working directly with founders under time pressure
